1. Definitions

"Platform" means the website at placeey.com and all associated services, features, and tools.

"Seller" means any individual property owner, real estate agent, or broker who lists property on the Platform.

"Developer" means; any company or individual who purchases land in bulk and lists subdivided plots for sale through the Platform, and any company or individual that turns ideas and land into finished buildings or projects.

"Buyer" means any individual or entity that browses, evaluates, or purchases property listed on the Platform.

"Anchor" means an in-country verification partner or individual engaged by Placeey to conduct on-ground property verification.

"Verified Listing" means a property listing that has passed Placeey's title-verification process and displays the Placeey Verified badge.

"User" means any Seller, Developer, Buyer, or visitor who accesses the Platform.

2. Platform Description

Placeey is a digital real estate marketplace that enables diaspora investors to discover, evaluate, and connect with sellers of properties in select destinations, starting with East Africa (Kenya, Uganda, Tanzania, and Rwanda). The Platform provides a trust layer through title checks, “Title-Checked” and “Title-Check-Pending” badges and access to legal services.

Placeey is a marketplace and information platform only. Placeey does not buy, sell, own, manage, or develop property. Placeey does not act as a real estate agent, broker, attorney, financial advisor, escrow provider, or insurer. All property transactions are between the Buyer and the Seller, conducted independently and at their own risk.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use this Platform. By registering, you represent and warrant that all information you provide is accurate and complete.

4. Account Registration

Certain features of the Platform require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Placeey of any unauthorized use of your account.

Seller and Developer accounts require identity verification, including the submission of government-issued identification.

Two-factor authentication is required for all Seller, Developer, and Admin accounts. Seller and Developer accounts require identity verification, including submission of government-issued identification. Placeey applies reasonable administrative, technical, and organizational safeguards designed to protect submitted documents, including encryption in transit and at rest within Placeey-controlled production storage. Placeey may reject or suspend any account that fails or does not complete identity verification.

5. Seller and Developer Obligations

By listing a property on the Platform, you represent and warrant that:

  1. You are the legal owner of the property, or you have been duly authorized by the legal owner to list it for sale.
  2. All information, photographs, documents, and descriptions you provide are accurate, complete, and not misleading.
  3. The property is free from undisclosed encumbrances, disputes, or claims, or you have disclosed all known encumbrances in the listing.
  4. You have the legal right to sell the property in the jurisdiction where it is located.
  5. If you are a broker or agent, you have disclosed this status, provided the property owner's information as required by the Platform, and informed the owner that their name and property information will be used to verify property ownership against the relevant government land registry.

Sellers who submit fraudulent, forged, or materially misleading documents will be flagged on the Platform, may have their accounts suspended or permanently removed, and may be reported to relevant authorities.

6. Verification Services

6.1 Title Verification (Basic Search)

Placeey offers a title-verification service in which a basic search is conducted at the relevant government land registry to confirm that the title deed is legitimate and that the name on the title matches the seller's identity. This is a registry-level check only and it is done by the Placeey Anchors in each destination location. The anchors will be working off a structured form/information uploaded by the sellers (description of land, block and plots number ). Each destination information might be different to comply with the requirements of the specific land registry bureau of that destination country.

A per-listing title-verification fee, determined by the country of the property, may be charged before a listing enters the verification queue. This fee is non-refundable, even if the listing is rejected. A listing sent back for revision retains its verification fee and is not charged again.

6.2 Limitations of Verification

PLACEEY'S VERIFICATION IS LIMITED TO A BASIC TITLE REGISTRY SEARCH. IT DOES NOT CONSTITUTE A FULL LEGAL DUE DILIGENCE, PROPERTY SURVEY, VALUATION, PHYSICAL INSPECTION, ENVIRONMENTAL ASSESSMENT, OR LEGAL OPINION. A VERIFIED LISTING BADGE INDICATES ONLY THAT THE TITLE WAS CONFIRMED IN THE LAND REGISTRY AT THE TIME OF VERIFICATION.

Placeey does not guarantee:

  1. That a property is free from fraud, disputes, encumbrances, or third-party claims not recorded in the registry.
  2. That the physical condition, boundaries, or characteristics of a property match the listing description.
  3. That the property is suitable for any particular purpose.
  4. That any transaction will be completed successfully.
  5. Buyers are strongly advised to engage independent legal counsel and conduct their own due diligence, including physical inspection before making any property purchase.

6.3 Premium Verification Services

Placeey may offer or recommend third-party professional verification services, including physical site inspections, legal due diligence, and comprehensive property reports, through vetted service partners. These are optional buyer-paid services. Placeey acts as a referral platform for these services and does not perform, warrant, or guarantee the work of any third-party service provider.

7. Buyer Obligations and Acknowledgements

By using the Platform, Buyers acknowledge and agree that:

  1. Placeey is a marketplace. All purchase decisions are the Buyer's sole responsibility.
  2. Buyers should independently verify all property information, including ownership, boundaries, legal status, and physical condition, before entering any transaction.
  3. When a Buyer contacts a Seller and the communication moves off the Platform (via WhatsApp, email, phone, or in person), Placeey has no visibility into, control over, or liability for those communications or any resulting transactions.
  4. Buyers should never send money (via wire transfer, mobile money, or any other method) before independently confirming property ownership and engaging legal counsel.
  5. A Verified Listing badge is not a guarantee of legitimacy, value, or suitability. It confirms only that a basic title registry check was performed at the time of listing.

8. Legal Services

Placeey may recommend third-party legal services for critical legal advice including; regulatory compliance, clean title acquisition and risk mitigation throughout the life-cycle of property transactions and development.

8.1. Advocate-Client Relationship

  1. Placeey is a technology service provider and is not a law firm or an Advocates' partnership. We do not provide legal advice, representation, or advocacy services.

  2. “Users” select and retain counsel at their own discretion.
  3. Any fees paid to Placeey are solely for the use of the platform and administrative facilitation. Placeey does not split fees with legal practitioners, nor does it collect commissions on professional legal fees earned by the independent third-party Advocates.

9. Local Licensing and Regulatory Compliance

Each Seller, Developer, agent, broker, Anchor, lawyer, verification agents, surveyors and other service provider is independently responsible for maintaining all licenses, registrations, authorizations, insurance, and professional qualifications required for its activities and for complying with applicable real-estate, land-registration, consumer-protection, anti-money-laundering, sanctions, tax, advertising, and professional-conduct laws. Placeey may request evidence of compliance and may suspend or remove any person who fails to provide satisfactory evidence.

10. Subscriptions and Billing

Sellers may subscribe to paid tiers to access additional features, including increased listing slots, extended listing durations, and listing boosts. Subscription plans are billed annually and renew automatically unless cancelled. All payments are processed through Stripe. Placeey does not store credit card or payment card details.

Subscription tier changes are prorated. Downgrades take effect at the next renewal. Cancellations take effect at the end of the current billing period. Active listings remain live until their individual durations expire.

Placeey reserves the right to modify subscription pricing at any time. Existing subscribers will be notified at least 30 days before any price change takes effect on their account. Before purchase, Placeey will clearly disclose the subscription price, billing frequency, renewal terms, cancellation procedure, and any applicable refund restrictions and will obtain the User’s affirmative consent. Users may cancel through their account or by contacting subscriptions@placeey.com. Placeey will provide renewal reminders where required by applicable law.
